      Thank you for choosing Broearn Wallet. The Broearn Wallet Use Agreement
      ("Agreement") is made between BROEARN FOUNDATION LTD. ("Broearn Wallet",
      "the Company" or "we") and the user ("you" or "the User") and is legally
      binding between between you and Broearn Wallet.
    
    
      Please read and understand this Agreement carefully before using the
      service. Downloading and using our service means you have fully
      understood this Agreement and agree to be bound by all of its terms.
    
    
      Please read the Agreement carefully, In particular, you must carefully
      read the section of "Disclaimer and Limitation of Liability" and other
      sections which are displayed in bold in this Agreement. You must make
      sure that you fully understand the whole Agreement and evaluate the
      risks on your own.
    
    
      Please note that your Wallet Password, Private Key, Mnemonic Phrase, and
      Keystore on your Broearn Wallet are not stored or synchronized with our
      servers. We do not provide services to retrieve your Wallet Password,
      Private Key, Mnemonic Phrase, or Keystore.
    
    
      If you disagree with any terms of this Agreement, please voluntarily
      stop using and delete the Broearn Wallet.
    
    
      I. Acknowledgement and Acceptance of this Agreement
    
    
      You understand that this Agreement and relevant documents apply to
      Broearn Wallet and the decentralized applications ("DAppss") which are
      developed and owned independently by the Company (excluding DAppss
      developed by third parties).
    
    
      After you download Broearn Wallet and start to create or import wallet,
      you are deemed as having read and accepted this Agreement, which shall
      cause this Agreement to become effective and legally binding on both you
      and Company immediately.
    
    
      Company may, at its sole discretion, modify or replace this Agreement at
      any time. The modified Agreement will automatically take effect once it
      is posted on Broearn Wallet and you will not be notified separately. If
      you do not agree with the modifications, you shall cease to use Broearn
      Wallet immediately. Use of Broearn Wallet by you after any modification
      to this Agreement constitutes your acceptance of this Agreement as
      modified.
    
    
      If you are under the age of 18, or a person without or with limited
      capacity for civil conduct, please use Broearn Wallet under the guidance
      of your parents or guardians.

      After you download Broearn Wallet and start to create or import wallet,

      Wallet immediately. Use of Broearn Wallet by you after any modification
      to this Agreement constitutes your acceptance of this Agreement as
      modified.
    
    
      If you are under the age of 18, or a person without or with limited
      capacity for civil conduct, please use Broearn Wallet under the guidance
      of your parents or guardians.
    
    II. Definition
    1. Broearn Wallet
    
      It refers to the blockchain wallet developed by our company based on
      Bitcoin, Parallel Universe, Ethereum, Tron, Solana, BSC, HECO, Polygon,
      OKXChain, Avalanche, NEAR blockchain system (and other blockchain
      systems supported in the future), including other auxiliary tools
      developed for the better user experience.
    
    2. Users
    
      A. Users must be natural persons with full civil capacity.
    
    
      B.If you are under the age of 18, you need to use the Broearn Wallet
      service under the guidance of your parents or guardians.If you are a
      person without or with limited capacity for civil conduct, Broearn
      Wallet reserves the right to hold you and your parents or guardians
      responsible for all consequences caused by the use of Broearn Wallet.
    
    3. Excluded Person
    
      A. A person other than a natural person who possesses legal and mental
      capacity to enter into this Agreement; or
    
    
      B. A User who is prohibited, restricted, unauthorized or ineligible in
      any form or manner whether in full or in part under this Agreement,
      laws, regulatory requirements, or rules in the jurisdiction applicable
      to such User, to use the Services (as defined below). For the avoidance
      of doubt, Users from China are also covered under this definition of
      “Excluded Person”.
    
    4. Usage Related
    
      A. Create or import wallet: means your use of Broearn to create or
      import wallet after your acceptance of this Agreement.
    
    
      B. Wallet Password: means the password determined by you when you create
      the wallet. The Wallet Password will be used to encrypt and protect your
      Private Key. Broearn Wallet, as a decentralized application, will not
      store your Wallet Password on our servers, nor will your Wallet Password
      be stored in your own mobile devices. If you lose or forget your Wallet
      Password, you will have to reset the Wallet Password with your Private
      Key or Mnemonic Phrase.
    
    
      C. Alert: means the messages displayed on Broearn Wallet’s operation
      interface which provides suggestions for Users on subsequent operations.
    
    
      D. Specific Users: means Users who should cooperate with Company and
      disclose Personal Information in order to comply with the laws,
      regulations and policies of Singapore.
    
    
      E. Private Key: consists of 256 random bits. Private Key is the core for
      the User to hold and use the Tokens.
    
    
      F. Public Key: is derived from the Private Key based on cryptography and
      is used to generate wallet addresses. A wallet address is a public
      address for receipt of Tokens.
    
    
      G. Mnemonic Phrase: consists of 12 (or 15/18/21/24) words which are
      randomly generated, and it is based on BIP39, the industry standard of
      blockchain. It is a human readable format of words to back up your
      Private Key for recovery.
    
    III. Services
    
      Create or import wallet. For digital tokens supported by Broearn Wallet,
      you may use Broearn Wallet to create a new wallet or import other
      compatible wallets generated by other wallet application of the relevant
      blockchain system.
    
    
      Transfer and receive Tokens. You may manage your digital tokens by using
      the transfer and receipt functionalities of Broearn Wallet, i.e., you
      may revise the blockchain ledger by signing with your Private Key.
      Transfer of Tokens means the payer's transfer of the Token to blockchain
      address of the payee. The actual transfer and receipt takes place on the
      relevant blockchain system (not Broearn Wallet)
    
    
      Observe the quotation. You may use Broearn Wallet to observe the
      exchange rates of the provided digital tokens. The quotation of each
      Token is captured by Broearn Wallet from corresponding exchange and is
      displayed in the corresponding column on Broearn Wallet.
    
    
      Manage digital assets. You may use Broearn Wallet to add, manage or
      delete the Tokens supported by Broearn Wallet.
    
    
      Browse DApps. Users may use Broearn Wallet to visit and use the services
      provided by DApps (including DApps developed by the Company and DApps
      developed by third parties).
    
    
      Transaction records. We will copy all or part of your transaction
      records from the blockchain system. However, Users shall refer to the
      blockchain system for the latest transaction records.
    
    
      Suspension of Services. Due to the "irrevocable" nature of transactions
      on the blockchain system, we cannot suspend or reverse transactions, but
      we may suspend or limit a user's operation to the Broearn Wallet under
      certain circumstances.
    
    
      Token Exchange. Users can exchange digital tokens with third-party smart
      contracts or third-party DEX, and Broearn Wallet acts as an interface
      tool to help users interact with the third party and display the
      corresponding results of the digital token exchange.
    
    
      Other services that Company would like to provide.
    
    
      IV. Users who accept the above services should understand the following
      common problems
    
    
      1. In order to keep the decentralization feature of blockchain and to
      protect the security of your digital Tokens, Company offers
      decentralized service which is largely different from the banking and
      financial institutions. Users acknowledge and accept that the Company (
      the decentralized plan) SHALL NOT have any responsibility to :
    
    
      A. store Users' Wallet Password (the password Users set when creating or
      importing wallets), Private Key, Mnemonic Phrase or Keystore;
    
    
      B. recover Users' Wallet Password, Private Key, Mnemonic Phrase or
      Keystore;
    
    C. freeze the wallet;
    
      D. report the loss of wallet;
    
    E. recover the wallet;
    F. rollback transactions.
    
      2. Since the Company does not provide the above services, you shall bear
      sole responsibility to take care of your mobile devices, back up Broearn
      Wallet, and back up the Wallet Password, Mnemonic Phrase, Private Key
      and Keystore. In the event that: your mobile device is lost, your
      Broearn Wallet or your wallet is deleted and not backed up, your wallet
      is stolen or you forget your Wallet Password, Private Key, Mnemonic
      Phrase or Keystore, the Company will not be able to recover the wallet
      or recover Wallet Password, Private Key, Mnemonic Phrase or Keystore.
      The Company may not be able to cancel transactions for the mishandling
      of Users (such as typing in wrong addresses for transactions, wrong
      amounts to be exchanged) and the Company shall not be responsible in any
      way in respect of the same.
    
    
      3. Not all existing tokens are supported by the token management on
      Broearn Wallet. Do not use Broearn Wallet to handle any non-supported
      tokens.
    
    
      4. Broearn Wallet is a digital token management tool for users, not an
      exchange or trading platform. Although "Transaction" is mentioned many
      times in this Agreement, it refer to transfers and receipts made by
      Users on Broearn Wallet in general, which is fundamentally different
      from "Transaction" made on an exchange or trading platform.
    
    
      5. The DAppss integrated into Broearn Wallet include those developed
      independently by Company and those developed by third parties. Broearn
      Wallet only provides blockchain search and browser functions for those
      third-party-developed DAppss, and thus Broearn Wallet does not offer any
      guarantee for functions or service qualities of those
      third-party-developed DAppss. Users shall, at their sole discretion,
      decide whether there would be any risks to accept the services provided
      by or to conduct transactions on the third-party-developed DAppss.
    
    
      V. Your rights and obligations
    
    1. Create or import Wallet
    
      A. Create or import wallet: you are entitled to use Broearn Wallet on
      your mobile device to create and/or import wallet, set Wallet Password
      and use your wallet on Broearn Wallet to transfer and receive Tokens on
      blockchain.
    
    
      B. Identification verification: Specific Users will be asked to complete
      identification verification before using Broearn Wallet to comply with
      related laws and regulations, according to the notification of Broearn
      Wallet. Specific Users may be asked to provide Personal Information
      including but not limited to name, identification card number, cell
      phone number, bank card information, etc., without which the Specific
      Users will not be able to use certain services and the Specific Users
      alone shall be responsible for the loss caused by their delay in
      completing the verification.
    
    
      C. Company may develop different versions of Broearn Wallet for
      different terminal devices. You shall download and install applicable
      version. If you download and install Broearn Wallet or other application
      with the same name as "Broearn Wallet" from any unauthorized third
      party, Company cannot guarantee the normal operation or security of such
      application. Any loss caused by using such application shall be borne
      solely by you.
    
    
      D. A previous version of Broearn Wallet may stop to operate after a new
      version is released. Company cannot guarantee the security, continuous
      operation or customer services for the previous version. Users shall
      download and use the latest version.
    
    2. Use of Broearn Wallet
    
      A. You shall bear sole responsibility to take care of your mobile
      devices, Wallet Password, Private Key, Mnemonic Phrase and Keystore.
      Company does not store or hold the above information for Users. You
      shall be solely responsible for any risks, liabilities, losses and
      expenses which result from frauds, you losing your mobile device or
      crypto currency hardware wallet, disclosing (whether actively or
      passively) or forgetting Wallet Password, Private Key, Mnemonic Phrase
      or Keystore, or your wallet being attacked.
    
    
      B. Broearn Wallet Alerts. You understand and agree to comply with the
      Alerts published by the Company on Broearn Wallet. You shall be
      responsible for any risks, liabilities, losses and expenses which result
      from your failure to comply with any Alerts.
    
    
      C. You note and understand that Broearn Wallet undertakes no
      responsibility to conduct due diligence on the Third-Party Service. You
      shall assess carefully and assume all risks in connection with the use
      of Broearn Wallet.
    
    
      D. Complete identification verification. If Company reasonably deems
      your operation or transactions to be abnormal, or considers your
      identification to be doubtful, or Company considers it necessary to
      verify your identification documents or other necessary documents, you
      shall cooperate with Company and provide your valid identification
      documents or other necessary documents and complete the identification
      verification in time.
    
    
      E. Using the phone number and email registration method (EOS system
      effective decentralized solution), you can choose to export the Private
      Key function to get the Private Key for better account management. You
      note that you can delete the default added multi-sign owner permission,
      and our company will not be able to help you to restore the Private Key.
    
    3. Transfer of Tokens
    
      A. You understand that you may be subject to daily limits on the amount
      and times of transfers according to your location, regulatory
      requirements, transferring purposes, risk control by Broearn Wallet, or
      identification verification.
    
    
      B. You understand that blockchain operations are "irrevocable". When you
      use Broearn Wallet to transfer Tokens, you shall be solely responsible
      for the consequences of your mishandling of the transfer (including but
      not limited to wrong address, problems of the node servers selected by
      you).
    
    
      C. You understand that the following reasons may result in a "transfer
      failed" or "mining overtime" prompt:
    
    
      a) insufficient balance in the wallet;
    
    
      b) insufficient gas fee for transaction;
    
    
      c) blockchain's failure to execute the code of smart contracts;
    
    
      d) the transfer amount exceeding the transfer limits imposed by
      authorities, Broearn Wallet or laws or regulations;
    
    
      e) technical failure of the network or equipment;
    
    
      f) abandoned transactions result from blockchain network congestion or
      failure;
    
    
      g) the wallet address of yours or your counterparty's is identified as
      special addresses, such as high-risk address, exchange address, ICO
      address, Token address, etc.
    
    
      D. You understand that Broearn Wallet is only a tool for transfer of
      Tokens. Company shall be deemed to have fulfilled its obligations once
      you have completed the transfer and shall not be held liable for any
      dispute in relation thereto.
    
    
      E. Compliance. You understand that you shall abide by applicable laws,
      regulations and policies when you use Broearn Wallet or the DApps on
      Broearn Wallet.
    
    
      F. Notifications. Broearn Wallet may send notifications to you by web
      announcements, e-mails, text messages, phone calls, Notification Centre
      information, popup tips or client-end notices (e.g., information about
      your transfer or suggestions on certain operations) which you shall be
      aware of timely.
    
    4. Service Fee And Taxes
    
      A. Broearn Wallet does not charge you any service fees or handling fees
      for the time being. The Company may reach an agreement with you or
      announce rules regarding service fees in the future;
    
    
      B. You need to pay gas fee when you transfer Tokens on Broearn Wallet,
      the amount of which would be on your sole discretion and would be
      collected by the relevant blockchain network;
    
    
      C. You understand that your transfer of Tokens may fail under certain
      circumstances. When the relevant blockchain network being unstable, you
      may still be charged gas fee by the relevant blockchain network,
      notwithstanding the failed transfer attempted;
    
    
      D. You shall bear all the applicable taxes and other expenses occurred
      due to your transactions on Broearn Wallet.
    
    VI. Risks
    
      You understand and acknowledge that the laws and regulations are not
      fully established in the field of digital tokens. Digital tokens in this
      field may give rise to significant risks such as the inability of
      technology or failure for fiat-token exchange. You also understand that
      Tokens have much higher volatility compared to other financial assets.
      You shall wisely hold or dispose of the Tokens based on your financial
      status and risk appetite, and that the quotes provided by Broearn Wallet
      are only the search result of the digital token exchange rate
      information of some exchanges and do not represent the latest quotes or
      the best offer.
    
    
      Broearn Wallet does not guarantee that transactions will be completed
      successfully and Broearn Wallet is not liable for damages if you or your
      counterparties do not comply with this Agreement, relevant website
      descriptions, transactions, or the operating instructions and rules on
      the payment pages when using the Broearn Wallet Services. In the event
      that the foregoing occurs and the funds are credited to your or your
      counterparty's account first.
    
    
      Broearn Wallet or third-party wallets, you understand that transactions
      on blockchains are "irreversible" and that the relevant transactions are
      "irrevocable" so you and your counterparties shall bear the liabilities
      and consequences at their own risk.
    
    
      When you use Third-Party DAppss integrated with Broearn Wallet or
      conduct transactions, for your benefit, we recommend that you read this
      Agreement and the Broearn Wallet Tips carefully, get familiar with the
      counterparty and the product information and evaluate the risks
      carefully before taking any action. All your transactions with
      third-party DAppss are your personal actions and binding contractual
      relationships are established between you and your counterparties,
      independent of Broearn Wallet, and Broearn Wallet shall not be held
      liable for all risks, responsibilities, losses, and expenses that
      occurred due to such transactions.
    
    
      When you conduct transactions or transfer your tokens to other
      counterparts, it is your sole responsibility to make sure that your
      counterparty is a person with full capacity for civil acts and decide
      whether you shall transact with him/her.
    
    
      You shall reconfirm through the official blockchain system or other
      blockchain tools to avoid repeated transfers when you receive an Alert
      such as "transaction failed" or "mining timeout" or other similar
      abnormal information. Otherwise, you shall be responsible for all losses
      and expenses caused by this.
    
    
      You understand that after you create or import a wallet on Broearn
      Wallet, your Keystore, Private Key, Mnemonic Words, and other
      information will only be stored in this current mobile device and not on
      Broearn Wallet or the servers of the Company. You can change your mobile
      device by synchronizing your wallet, etc. according to the operating
      instructions provided by Broearn Wallet. However, if you lose your
      mobile device before you could write down or backup your Wallet
      Password, Private Key, Mnemonic Phrase, Keystore, and other information,
      your digital tokens will be lost and we will not be able to retrieve
      them for you, and you will be responsible for the corresponding losses.
      If your Wallet Password, Private Key, Mnemonic Phrase, or Keystore is
      disclosed, or the device or server where you save or backup the above
      information is hacked or controlled, your digital tokens will be lost
      and we will not be able to recover them. Any and all losses arising in
      connection with the foregoing shall be borne solely by you.
    
    
      We recommend that you back up your Wallet Password, Private Key,
      Mnemonic Phrase, and Keystore when creating or importing your wallet. We
      remind you not to use the following backup methods: screenshots, emails,
      note-taking apps, SMS, WeChat, QQ, and other electronic backup methods.
      We recommend that you copy the Mnemonic Phrase and Keystore information
      on a paper notepad, and you can store the electric data in a password
      manager.
    
    
      Please be alert to fraud when you use the Broearn wallet. If you find
      any suspicious activity, we encourage you to inform us immediately.
    
    
      VII. Change, Suspension, and Termination of Company Services
    
    
      You acknowledge and accept that the Company may, at its sole discretion,
      provide only a small part of the Service, for the time being, suspend
      certain services or provide new services in the future. When we change
      our services, your continuous use of any services provided by the
      company is deemed as your acceptance and revision of this agreement.
    
    
      You understand that the Company will suspend the Services if the
      following circumstances exist.
    
    
      A. maintenance, upgrading, failure of equipment and blockchain system
      and the interruption of communications, etc., which lead to the
      suspension of the operation;
    
    
      B. Force majeure factors such as typhoon, earthquake, tsunami, flood,
      power outage, war or terrorist attack, virus, Trojan horse, hacker
      attacks, system instability, or governmental action, which cause our
      system to be unable to provide services or if in Company's reasonable
      opinion, continuous provision of Services would result in significant
      risks;
    
    
      C. Occurrence of other circumstances beyond the Company's control or
      reasonably foreseeable.
    
    
      D. The Company may unilaterally suspend or terminate your use of some or
      all of the functions of the Broearn Wallet when you experience the
      following circumstances:
    
    1. death of the user;
    
      2. if you steal others’ wallet information or mobile device;
    
    
      3. if you provide false Personal Information;
    
    
      4. if you refuse the mandatory update operation initiated by us to
      enhance the functionality of Broearn Wallet;
    
    
      5. if you use the Broearn Wallet for illegal or criminal activities.
    
    
      6. if you obstruct normal use by other users.
    
    
      7. if you falsely claim to be a member of our staff or management.
    
    
      8. if you attack, intrude into, alter, or in any other way threaten the
      normal operation of our computer systems.
    
    
      9. if you use Broearn Wallet to promote spam advertising.
    
    
      10.if you spread rumors that damage the goodwill of the Company and
      Broearn Wallet.
    
    
      11. if you conduct any illegal acts, breach this Agreement, or other
      circumstances that we reasonably believe should suspend services. You
      are entitled to export your wallets within a reasonable amount of time
      if the Company changes, suspends, or terminates its Services.
    
    
      VIII. Your commitment to using the Company's services legally
    
    
      You shall comply with the laws and regulations of your country or region
      of residence and shall not use Broearn Wallet for any illegal purpose or
      use our services in any illegal manner.
    
    
      You shall not use Broearn Wallet to engage in illegal or criminal acts,
      including but not limited to
    
    
      A. opposing the basic principles set by the Constitution, endangering
      national security, leaking state secrets, subverting state power, or
      undermining national unity;
    
    
      B. engaging in any illegal or criminal acts, including but not limited
      to money laundering, illegal fundraising, etc;
    
    
      C. By using any automated program, software, engine, web crawler, web
      analysis tool, data mining tool or similar tool, etc., accessing the
      company’s services, collecting or processing content provided by the
      company, interfering or attempting to interfere with any user;
    
    
      D. providing gambling information or in any way inducing others to
      participate in gambling;
    
    
      E. hacking into another person's Broearn wallet to steal digital tokens;
    
    
      F. Conducting transactions that are inconsistent with the transactions
      declared by the counterparty or transactions that are not genuine;
    
    
      G. Engaging in any conduct that infringes or may infringe on the Broearn
      Wallet Service system and data;
    
    
      H. Any other conduct that is illegal and that we have reasonable grounds
      to believe is inappropriate;
    
    
      You understand and agree that if you violate the relevant laws
      (including but not limited to customs and/or tax regulations) or the
      provisions of this agreement, the company will suffer any loss, any
      claims from any third party or for administrative penalties, you should
      compensate the company, including reasonable attorney fees. You promise
      to pay the company's service fees (if any) on time, otherwise the
      company has the right to suspend the services provided to you.
    
    IX. Privacy Policy
    
      Any personal data or information which you provide to us is also subject
      to our updating privacy policy ("Broearn Privacy Policy").
    
    
      X. Disclaimer and Limitation of Liability
    
    
      1. The Company is only responsible for the obligations expressly set
      forth in this Agreement.
    
    
      2. You acknowledge and accept that, to the extent permitted by law, the
      Company can only provide the Broearn Wallet Services in accordance with
      the current state of technology and conditions. The company shall not be
      held liable for the malfunction of Broearn Wallet to provide the
      Services properly due to the following reasons.
    
    
      A. system maintenance or upgrading of Broearn Wallet system;
    
    
      B. force majeure reasons such as typhoons, earthquakes, floods,
      lightning, or terrorist attacks;
    
    
      C. malfunction of your mobile device software and hardware and
      telecommunication lines and power lines;
    
    
      D. your improper, unauthorized, or unrecognized use of the Company;
    
    
      E. due to viruses, Trojan horses, malicious program attacks, network
      congestion, system instability, system or equipment failures,
      communication failures, power failures, banking and other reasons, or
      government actions.
    
    
      F. Any other cause not imputed to the Company.
    
    
      3. The Company shall not be liable for the following circumstances.
    
    
      A. Loss of digital tokens caused by users losing their mobile devices,
      deleting and not backing up their Broearn wallets, theft of their
      wallets, or forgetting their Wallet Passwords, Private Keys, Mnemonic
      Phrases, and Keystore;
    
    
      B. Loss of digital tokens caused by the user revealing the Wallet
      Password, Private Key, Keystore, or borrowing, transferring, or
      authorizing others to use your mobile devices or Broearn wallet wallets,
      or not downloading the Broearn wallet application through our official
      channels or using the Broearn wallet application in other insecure ways;
    
    
      C. Loss of digital tokens due to user mishandling (including but not
      limited to wrong transfer address, your own choice of transfer node
      server);
    
    
      D. Loss of digital tokens due to misuse by users who lack knowledge in
      relation to blockchain technology;
    
    
      E. Being unable to copy the user's accurate transaction records on the
      blockchain due to system delay, or blockchain instability, etc.
    
    
      4. Any loss of assets due to the user's personal reasons (including but
      not limited to loss of cell phone number, email address, verification
      code leakage, personal public Private Key, hacking of the user's
      personal information) and irresistible factors have nothing to do with
      the Company.
    
    
      5. Risks and consequences arising from the user's operation on
      third-party DAppss. You understand that Broearn Wallet is only used as a
      tool for your digital token management. It is incapable to control the
      quality, security, or legitimacy of the products and services provided
      by the third-party DApps, the authenticity, and accuracy of the
      information, or the capabilities of the other party to fulfill its
      obligations under the agreement with you. You, at your sole discretion,
      decide whether to use the Third-Party Service. A binding contractual
      relationship is established between you and your counterparty,
      independent of Broearn Wallet. We kindly remind you that you should use
      your own careful judgment to determine the authenticity, legitimacy, and
      effectiveness of your login DApps and related information. Any
      transactions between you and any third party shall also be at your own
      risk.
    
    
      We may provide services to both you and your counterparties, and you
      agree to expressly waive any actual or potential conflict of interest
      that may exist with respect to such conduct by us, and not to claim will
      not claim against Company on such base or burden Company with more
      responsibilities or duty of care.
    
    
      XI. The Company does not warrant that:That the Company's services will
      satisfy all of your needs.
    
    
      That any technology, products, services, and information you obtain
      through the Company's services will meet your expectations.
    
    
      All the transaction information in digital Tokens markets captured from
      the third-party exchanges is prompt, accurate, complete, and reliable.
    
    
      That the counterparties will promptly perform their obligations under
      the transaction agreements with you.
    
    
      In no event will our total liability for breach of this agreement exceed
      the greater of A. 0.1 Ether; or B. S$100.
    
    
      You understand that the Broearn Wallet is only used as a tool for users
      to manage digital tokens and display transaction information and that we
      do not provide legal, tax, or investment advice. You should seek your
      own advice from legal, tax, and investment professionals, and we are not
      responsible for any investment loss or data loss you may suffer in the
      course of using our services.
    
    
      You understand that we may change our entry standard, limit the range
      and manner of service provision to a particular group, etc. at any time
      in accordance with relevant policies and regulations,
    
    
      XII. Entire Agreement
    
    
      This Agreement consists of the Broearn Wallet Usage Agreement, the
      Broearn Wallet Privacy Policy, and various rules posted by us from time
      to time.
    
    
      If portions of this Agreement are found to be violated or invalid by a
      court of competent jurisdiction, the validity of the other portions
      shall not be affected thereby.
    
    
      Any translated version of this Agreement is provided solely as a
      convenience to users and is not intended to revise the terms of this
      Agreement. In the event of a conflict between a Chinese version and a
      non-Chinese version of this Agreement, the Chinese version shall
      prevail.
    
    
      XIII. Intellectual Property Protection
    
    
      Broearn Wallet is an application developed and owned by our company. The
      intellectual property rights of any content displayed in the Broearn
      Wallet (including this Agreement, announcements, articles, videos,
      audio, images, archives, information, materials, trademarks or logos)
      are owned by Company or third-party licensors. Users may use the Broearn
      Wallet application and the content therein only for the purpose of
      holding and managing digital tokens. No one shall use, modify,
      decompile, reproduce, publicly disseminate, alter, distribute, or
      publicly publish the aforementioned application and content without the
      prior written consent of the Company or the third party licensors.
    
    
      XIV. Legal Application and Dispute Resolution
    
    
      The validity, interpretation, modification, enforcement and dispute
      resolution of this Agreement and its amendments shall be governed by the
      laws of the Republic of the Company, or in the absence of such laws,
      international commercial practices and/or industry practices shall
      apply.
    
    
      If any dispute or controversy arises between you and the Company, it
      shall first be resolved through friendly consultation, and if
      consultation fails, either party may submit to the jurisdiction of the
      people's court of the Company's location with jurisdiction.
    
    XV. Other
    
      If you are a user outside of Singapore, you must fully understand and
      comply with all relevant laws, regulations and rules of your
      jurisdiction in relation to the use of the Company's services.
    
    
      If you encounter any problems in using our Services, you may contact us
      by submitting feedback in Broearn Wallet, etc.
    
    
      You can review this Agreement in Broearn Wallet. We encourage you to
      review our Usage Agreement each time you visit Broearn Wallet.
    
    
      Regarding suspensions and restrictions on API requests: Generally, if we
      determine that.
    
    A. Your use of the Services
    
      (a) poses a security risk to the Services or any third party.
    
    
      (b) may adversely affect our systems, the Services, or the systems of
      any other user.
    
    
      (c) may expose us, our affiliates or any third party to liability.
    
    (d) may be fraudulent.
    
      B. You have violated this Agreement. For entities, you have ceased
      normal operations, made an assignment for the benefit of creditors or
      assets requiring disposition, or become subject to bankruptcy,
      reorganization, liquidation, dissolution, or similar proceedings.
    
    
      C. Effect of Suspension: We will suspend your right to access or use any
      part or all of the Services.
    
    
      (a) You will remain responsible for all fees and charges incurred during
      the suspension period.
    
    
      (b) You will not be entitled to access any of the Services during the
      suspension period.
    
    
      D. Restrictions on API Requests.
    
    
      If applicable to a particular Service, we reserve the right, in our sole
      discretion, to limit your use of the Service (including, without
      limitation, limiting the number of API requests you may submit ("API
      Requests")) to the applicable thresholds of the selected Service Plan.
    
    
      This Agreement shall apply as of October 15, 2022.
    
    
      You shall comply with the announcements and related rules as updated
      from time to time for matters not covered by this Agreement.
